I have to believe that Dell knew they would lose at least part of Microsoft's business but gaining VMWare should not only offset that loss it should open up new avenues for Dell.  VMware is famously hardware agnostic and will continue to be but imagine every VM sales pitch including demos done with Dell gear and pre-designed solutions using Dell gear.   Toss in a little bit if pricing incentive and Dell should be able to push HP, IBM and Cisco out of some server farms just through VMWare sales visits.  Lastly vCloud should start gaining some more traction, vSphere has proven itself in the private space so a product that feels like vSphere running as IaaS becomes attractive for many solutions if you're already familiar with VMWare.

Dell weighed the costs of an EMC/VMware acquisition
Dell must have understood it would risk losing a significant customer for servers, Microsoft, if it acquired EMC/VMware. It probably weighed the gains versus the costs and went ahead with the deal. But Microsoft willl not be spending its server budget to help Dell succeed with virtualization and cloud from this point forward. Hence, the warming relationship with HP, also a historic partner.
